Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the private investor portal operated by Polaris Reach Capital LLC (“Polaris Reach Capital,” “we,” “us,” or “our”). By accessing the portal, you agree to these Terms. If you do not agree, do not use the portal.

1. Eligibility & access

Access is by invitation only and is personal to you. The portal is intended for existing, qualified or accredited investors who are at least 18 years old. You may not share your access, and you are responsible for all activity under your account.

2. Informational purpose only

The portal is provided to help you track your existing participation in our program. Figures, projections, and performance information are estimates for informational purposes, may change, and are not guarantees of any result.

3. Not advice; not an offer

Nothing on the portal is investment, legal, tax, or accounting advice, nor an offer or solicitation to buy or sell any security. Any investment is made solely under separate written agreements and offering documents, which control in the event of any conflict with the portal.

4. Risk disclosure

Private lending and related investments involve substantial risk, including illiquidity and the possible loss of some or all of your principal. Past performance does not indicate future results. You are responsible for evaluating the risks and should consult your own advisors.

5. Account security

Keep your credentials confidential, enable available security features such as two-factor authentication, and notify us promptly of any unauthorized access. We may suspend access if we suspect a security or compliance issue.

6. Acceptable use

You agree not to:

• Access the portal without authorization or share your access with others.
• Copy, scrape, reverse-engineer, or interfere with the portal or its security.
• Use the portal for any unlawful purpose or in violation of these Terms.

7. Confidentiality

Information made available through the portal, including deal details and performance data, is confidential. You agree not to disclose it to any third party except as required by law or with our prior written consent.

8. Intellectual property

The portal, its content, branding, and software are owned by Polaris Reach Capital LLC or its licensors and are protected by law. We grant you a limited, non-transferable, revocable right to use the portal for its intended purpose.

9. No warranty

The portal is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including accuracy, availability, or fitness for a particular purpose, to the fullest extent permitted by law.

10. Limitation of liability

To the fullest extent permitted by law, Polaris Reach Capital LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from your use of the portal.

11. Termination

We may suspend or terminate your access at any time, including for violation of these Terms or for security or compliance reasons.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located there.

13. Changes to these Terms

We may update these Terms from time to time. Continued use of the portal after changes take effect constitutes acceptance of the revised Terms.
